Essential Job Functions

POSITION OVERVIEW

A Junior Paralegal, under the supervision and direction of a Paralegal, helps to manage and organize the materials and information relating to particular matters and transactions. These duties allow them the opportunity to work with and assist our legal staff in preparing documents for the formation of entities/organizations, due diligence investigations and fund closings. The projects typically involve clerical duties and basic file organization tasks, and may require long hours and travel.

ESSENTIAL FUNCTIONS (This list is not exhaustive and may be supplemented and changed as necessary.)

The Junior Paralegal - Investment Funds assists attorneys and legal staff with the preparation of documents necessary to comply with federal, state and local regulations in the conduct of business activities as well as:

  • Review and track investor subscription booklets and indexes into various tracking charts;
  • Prepare and file incorporation and formation documents (Delaware and other jurisdictions), as well as stock certificates, powers of attorney, resignations and standard certificates and resolutions;
  • Interface with corporate service providers regarding statutory registered agent services;
  • Maintain executed electronic copies of all governing fund agreements, resolutions, opinions, support certificates, fund tax forms, securities filings, related side letters, etc.;
  • Prepare electronic closing sets to be delivered to client as needed;
  • Assist with all closing matters: attend to post closing materials such as distribution of documents and original signature pages, prepare and organize documents, prepare and organize materials for shipment, create indexes, assemble documents into tabs and create electronic binders, deliver and pick up documents to and from various clients and law firms, fill out foreign qualification applications, apply for Employer Identification Numbers from the IRS, order corporate documents, e.g., charters, bylaws, good standings;
  • Keep track of all relevant documents and signature pages for the attorneys and/or paralegals;
  • Proofread, duplicate and scan documents to PDF, format and save to document management system;
  • Perform clerical tasks as needed, e.g., make copies, create folder labels, prepare packages, write generic cover memos, etc;
  • Commitment to work overtime as needed, which may be heavy at times, and may include weekends or holidays with potential to be for extended periods of time. Must be available to travel.

Qualifications & Requirements

Education, Work Experience, Skills

  • The ideal Junior Paralegal candidate is a college graduate with a strong interest in the legal profession and corporate law with the ability to commit to the position for at least two years. 
  • Excellent oral and written communication skills are necessary with the ability to interact professionally with staff, attorneys, legal assistants, clients and vendors. 
  • The successful candidate must be able to work independently as well as with a team, have an acute attention to detail and the ability to multi-task and prioritize while working in a high pressure, deadline-driven environment.
  • Overtime availability is a must and a college degree is required.

Technologies/Software

  • Strong technical skills are required, particularly Microsoft Word, Excel, Outlook, Adobe Acrobat and a Document Management System.
