Essential Job Functions

JOB DESCRIPTION

The individual will be responsible for assisting in the preparation and filing of Hart-Scott-Rodino Premerger Notification and Report forms (“HSR”) with the Department of Justice (“DOJ”) and the Federal Trade Commission (”FTC”) and assisting with the coordination of multinational competition filings.  The individual should have a bachelor’s degree, good communication skills and excellent attention to detail.  The individual should possess excellent written and oral communication skills, be extremely detail-oriented and organized, be a team player and possess grace under pressure.  The individual should have the ability to multitask, work both independently and as part of a team to assist all members of the M&A Clearance Team in various stages of the HSR and competition filing process.

ESSENTIAL JOB FUNCTIONS

I.          Assist with preparation of HSR Form (training required)

            A.        work with LivEdgar
            B.        research company NAICS codes
            C.        input Items 4, 5, 6, 7 & 8 of HSR Form (entire HSR Form as training progresses)
            D.        collect, prepare and review HSR exhibits for accuracy

            E.         maintain client HSR tracking templates (as training progresses)

            F.         track client news from industry sources (peHUBwire, Term Sheet, Early Termination Notices posted to the FTC website, etc.)

            G.        draft information requests for the client

II.        Coordinate with the M/A Clearance Team

            A.        communicate with Washington DC team regarding filing HSRs
            B.        compile HSR filing packets in either paper or electronic form and forward to Washington DC team
            C.        draft letters to the DOJ and FTC for filings

III.       Simultaneously with HSR process, if foreign subsidiaries or sales

            A.        assist in obtaining sales by country by location of customer for client and opposing HSR counsel
            B.        maintain client sales by country Excel templates

 

IV.       Distribute HSR commencement letter when the expiration period expires, early termination letter to the corporate team and client, if appropriate

V.        Maintain HSR precedent files in the Document Management System (“DMS”)

            A.        scan and file all completed HSRs (including Exhibits) into DMS
            B.        scan and file all date stamped letters from the DOJ and FTC

            C.        scan and file all commencement letters from the FTC into the DMS

            D.        scan and file all early termination letters from the FTC into the DMS, if applicable

            E.         scan and file all requests for information and second requests from the DOJ & FTC into the DMS

            F.         scan and file all M&A Clearance team notes into the DMS

VII.     Assist in maintenance of HSR active, terminated and advice/prepared/not filed lists

Qualifications & Requirements

Education, Work Experience, Skills

The ideal candidate will possess a Bachelor’s degree and a strong interest in Mergers & Acquisitions.  Excellent communication skills are necessary with the ability to interact professionally with staff, attorneys, paralegals, clients and vendors.  The successful candidate must be able to work independently as well as with a team, have an acute attention to detail and be able to multi-task and prioritize while working in a high pressure, deadline-driven environment.

Technologies/Software

  • Strong technical skills are required, particularly Microsoft Word, Excel, Outlook, Adobe Acrobat and a form of Document Management System.  Access experience a plus.
