Essential Job Functions

POSITION OVERVIEW

The San Francisco office of Kirkland & Ellis LLP is seeking a Mergers & Acquisitions Paralegal who will support multiple Corporate/M&A attorneys and the overall practice on a variety of deals.

 

ESSENTIAL FUNCTIONS (This list is not exhaustive and may be supplemented and changed as necessary.)

  • Drafts, files and maintains various business entities, including corporations, limited liability companies and limited partnerships.
  • Drafts and prepares organizational documents including consents, stock certificates, and basic corporate documents.
  • Prepares corporate minute books and records.
  • Assists with various aspects of corporate governance.
  • Research state corporate laws regarding foreign qualifications and other matters.
  • Prepares closing checklists, coordinates closings, prepares signature pages, and drafts necessary closing documents including officer certificates and consents.
  • Prepares and files statutory filings with Secretary of State, including amendments, conversions, mergers, and dissolutions.
  • Orders lien searches and summarizes lien search results.
  • Frequent contact with clients and attorneys.
  • Formulates solutions to problems which may arise, such as good standing issues.
  • Interfaces with corporate service providers regarding statutory registered agent services (including changing contact information).

Qualifications & Requirements

Education, Work Experience, Skills

The position will require use of analytical, organizational, and communication skills.  The Ideal candidate will have 1-5 years of general corporate, mergers and acquisitions experience with a bachelor’s degree preferred. Additional qualifications include strong computer abilities, creativity, and initiative.  Flexibility for travel and overtime is required.
