Essential Job Functions
The Houston office of Kirkland & Ellis LLP is seeking a Private Funds paralegal who will support multiple corporate partners and the overall practice on a variety of transactions. The essential job functions include the following:
1. Fund Formation
Prepares and files incorporation and formation documents, typically in Delaware but also other jurisdictions
Prepares initial short form agreements
Prepares board consents and stockholder consents
Completes and files Form SS-4s to obtain EINs, as well as other tax related forms
Prepares and files qualification and withdrawal applications
Prepares and files statutory filings
Maintains closing checklist as necessary
Formulates solutions to problems which may arise, such as good standing issues
Interfaces with corporate service providers regarding statutory registered agent services (including changing contact information)
Provides direct support to clients (using discretion to handle matters directly or involving an attorney)
2. Private Funds Tracking and Reporting
Subscription Booklet Tracking and Indexing
Reviews investor subscription booklets and indexes into Access database and identifies follow up
Contacts investor regarding follow-up items relating to their subscription booklet
Creates and maintains Access database with revised investor information when updated documents arrive and generate reports
Generates and maintains status chart and generates reports
3. Electronic Closing Files
Maintains executed electronic copies of all governing fund agreements, resolutions, opinions, support certificates, fund tax forms, securities filings, etc.
Maintains electronic subscription booklets and related side letters on document management server
Updates subscription booklet materials with revised documents from investors
Updates closing checklist as new fund related documents and agreements are complete
4. Closing Files and Subscription Booklets
Maintains closing files
Updates subscription booklets
5. Closings - General
Handles signature page distribution to client
Prepares closing notices including General Partner acceptance pages
Prepares support certificates
Obtains executed opinion
Orders certified copies and good standing certificates
Identifies and resolves problems that arise
Verifies General Partner acceptance pages and distributes closing notices to investors
Runs Blue Sky audit and coordinates with fund attorneys regarding required state securities filings
Prepares and distributes closing book materials for new investors
Prepares final closing book index and assemble and distributes and uploads closing book
Qualifications & Requirements
The ideal candidate will possess experience in one or more areas including M&A, private equity, debt finance, asset finance & securitization, private funds, investment management. The ideal candidate will possess 2+ years of corporate paralegal experience with a bachelor’s degree preferred. Additional qualifications include excellent analytical and organizational abilities, solid communication skills, strong computer abilities, creativity, and initiative. Flexibility for travel and overtime is required.
