Essential Job Functions

Kirkland & Ellis LLP is seeking a Paralegal II – Debt Finance who will support multiple partners and the overall practice on a variety of matters.

  • Prepares and files certificates of trust and other entity formation documents, typically in Delaware but also other jurisdictions
  • Prepares and files statutory filings with Secretary of State, including amendments and dissolutions, typically in Delaware but also other jurisdictions
  • Prepares and files sales finance license applications (mostly for Delaware statutory trusts in the states of Pennsylvania and Maryland)
  • Drafts written consents, typically for LLCs, in lieu of meeting, including both organizational and transactional closing matters
  • Prepares basic organization documents, typically for Delaware but also other jurisdictions
  • Prepares and files Form SS-4 with the IRS to obtain EINs
  • Prepares checklists to track all closing deliverables and deadlines for a transaction
  • Reviews and charts UCC and other lien search results
  • Prepares and files UCC financing statements, amendments and termination statements
  • Prepares ancillary closing documents supporting the base operative documents in a deal
  • Prepares and coordinates execution of signature pages, organization and compilation of the comprehensive set of transaction documents, and delivery of closing documentation
  • Drafts initial opinion support certificates
  • Drafts secretary’s certificates
  • LLC Agreement
  • Resolutions
  • Incumbency Certificate
  • Certificate of Formation
  • Drafts short form trust agreements
  • Drafts disclosure certificates (if prospectus, offering memorandum or other offering document in transaction)
  • Collects exhibits to transaction documents
  • Drafts notes, certificates or other securities from forms attached to documents
  • Orders certified copies and good standing certificates
  • Identifies and resolves problems that arise
  • Assists with closing, including tracking down signatures pages, final agreements, and providing general support
  • Interfaces with corporate service providers regarding statutory registered agent services (including changing contact information)
  • Provides direct support to clients (using discretion to handle matters directly or involving an attorney)
  • Collects third party documents
  • Prepares closing book index and oversees preparation of closing book
  • Proof SEC Edgar filings

OTHER FUNCTIONS (This list is not exhaustive and may be supplemented and changed as necessary.)

  • Any other functions/duties as assigned by management.

WORK ENVIRONMENT

This job operates in a professional office environment. This role routinely uses standard office equipment such as computers, phones, photocopiers, and filing cabinets.

Qualifications & Requirements

Education, Work Experience, Skills

This position requires 5+ years of experience preferably in a law firm assisting on structured financing matters for large corporate clients. The ideal candidate will possess a bachelor’s degree. Additional qualifications include excellent analytical and organizational abilities, solid communication skills, strong computer abilities, creativity, and initiative.  A successful candidate must be able to work independently as well as with a team, have acute attention to detail, and is able to multi-task and prioritize while working in a high pressure, deadline-driven environment. Flexibility for travel and overtime is required.


Technologies/Software

Strong technical skills are required, particularly Microsoft Word, Excel, Outlook, Adobe Acrobat.
